CONSTITUTION: Rules and regulations
PREAMBLE :
“GMCH Alumni Association” is an endeavor for a more coherent forum formed by
1. Medical graduates (MBBS) of GMCH-32, Chandigarh following completion of internship
2. Post graduates (MD/MS/DNB) of GMCH-32, Chandigarh having completed their course of study
3. Superspecialists (DM/MCh/DNB) of GMCH-32, Chandigarh having completed their course of study
4. All senior residents having completed at least 3 years of their tenure at GMCH
5. All past and present faculty of GMCH, Sec 32-A, Chandigarh.
THE NAME AND TERRITORY:
The name of the society will be “GMCH Alumni Association”, formed by medical graduates (MBBS), post graduates (MD/MS/DNB) and superspecialists (DM/MCh/DNB) having completed their course of study, all senior residents having completed at least 3 years of their tenure at GMCH and all past and present faculty of GMCH, Sec 32-A, Chandigarh.
ADMINISTRATIVE OFFICE :
The administrative office of GMCH Alumni Association shall be in the premises of Govt. Medical College & Hospital, Sector 32, Chandigarh.
1. INTRODUCTION
AIMS AND OBJECTIVES :
1.1 To promote interaction amongst members and to serve as a link between the members of The GMCH ALUMNI ASSOCIATION and their Alma Mater, Government Medical College and Hospital, Chandigarh (GMCH).
1.2 To provide help and any other type of assistance to the member of The GMCH ALUMNI ASSOCIATION.
1.3 To organize Welfare Services for its members, GMCH students and humanity at large.
1.4 To conduct academic/ sports/ cultural activities and to award prizes for excellent work done in the medical field and/or social sphere.
1.5 To publish or assist in the publication of The GMCH ALUMNI ASSOCIATION newsletter, books and /or journals by members of The GMCH ALUMNI ASSOCIATION.
1.6 To work towards improvement of medical education and health care services.
1.7 The Association may, from time to time, organize medical camps in different parts of the country to provide free counseling and aid to the suffering poor and the down trodden without distinction of caste, creed and religion.
1.8 To encourage formation of Chapters of The GMCH ALUMNI ASSOCIATION in India and in other countries.
1.9 To hold/organize regular alumni meetings at GMCH.
1.10 To hold moveable and immovable properties, bank accounts that may be necessary or advantageous for the aforesaid objects, to purchase and sell, improve, develop, manage, sell, rent, lease/ mortgage, dispose of, turn to account or otherwise deal with all or any part of the property of GMCH Alumni Association for the improvement and benefit of the GMCH Alumni Association.
1.11 To mobilize and generate resources and funds to carry out the objectives of the Association, accept donations and gifts of both movable and immovable assets. To approach and apply to the government/ governmental agencies for allotment/ purchase, or acquire on lease or in exchange, or on hire or by gift or otherwise, any real estate or property and any rights or privileges necessary or convenient for the benefit of GMCH Alumni Association.
1.12 All the incomes, earnings, movable or immovable properties of the GMCH Alumni Association shall be solely utilized and applied towards the promotion of its aims and objects only as set forth in the Memorandum of the Association and no profit thereof shall be applied in any manner whatsoever for the benefit of the present or past members of the Association or to any person claiming through any one or more of the present or the past members. No members of the Association shall have any personal claims on any movable or immovable properties of the society or make any profits, whatsoever, by virtue of this membership
1.13 To have its office within the premises of Government Medical College Hospital Sector-32, Chandigarh
1.14 To make bylaws, rules and regulations of GMCH Alumni Association and to amend, to change or add to the same as and when necessary.
1.15 Any other objectives that the Executive Committee and General Body may deem fit in the interest of The GMCH ALUMNI ASSOCIATION.
2. Conditions:
2.1 The income and property of the GMCH Alumni Association shall be applied solely towards the promotion of the objectives of the GMCH Alumni Association set forth in the Memorandum of Association of GMCH Alumni Association and no portion thereof shall be paid to or transferred, directly or indirectly, to the members of the GMCH ALUMNI ASSOCIATION.
2.2 All posts are honorary. No member of the Executive committee of the GMCH Alumni Association shall be appointed to any salaried office or any office of the GMCH Alumni Association. He/she shall not be paid any remuneration by the GMCH Alumni Association to any member of such executive committee except repayment of out of pocket expenses and interest on the money lent or rent for premises demised to the GMCH Alumni Association.
2.3 The GMCH Alumni Association by its constitution is required to apply its profits if any or the other income in promoting its objectives.
2.4 If upon the winding up or dissolution of the GMCH Alumni Association there remains after satisfaction of all the debts and liabilities any property whatsoever it shall not be distributed among the members of the society, but shall be given or transferred to some other institution/ body having objectives similar to the objectives of the GMCH Alumni Association, to be determined by the members of the GMCH Alumni Association at or before the time of dissolution.
3. TERMS OF ADMISSIONS OF MEMBERS:
The membership of the GMCH Alumni Association will be available to medical graduates (MBBS), post graduates (MD/MS/DNB) and superspecialists (DM/MCh/DNB) having completed their course of study at GMCH-32, all senior residents having completed at least 3 years of their tenure at GMCH and all past and present faculty of Government Medical College & Hospital, Sector 32, Chandigarh.
4. SUBSCRIPTION :
The executive committee may fix membership fee to be charged for admission into GMCH Alumni Association. The proposed life membership fee for life members of GMCH Alumni Association is a onetime payment of Rs. 1500.00 at the time of inception and Rs. 500/- for Associate member, which may be changed with time with the consent of General body.
Membership will be granted only after payment of life membership fee. Failure to do so will result in his/her automatic forfeiture of membership rights.
5. FINES AND FORFEITURES
The executive committee may impose fine ( to be decided by the executive committee) to be approved by the general body to penalize any member found to be doing something unethical or other activities against the interest or the prestige of GMCH Alumni Association.
6. CATEGORIES OF THE MEMBERS OF THE SOCIETY
6.1 Patron: The serving Director Principal of GMCH, Sector 32 will be the Ex-officio patron of GMCH Alumni association. However they will not have voting rights. Any faculty who is promoted to the post of Director Principal, GMCH-32, Chandigarh will become the ex-officio patron of the society and will forfeit his voting rights. He will again become a full member and have voting rights after demitting the office of Director Principal.
There shall be 2 categories of members.
6.2 Life member:
6.2.1 Medical graduates (MBBS) of GMCH-32, Chandigarh following completion of internship
6.2.2 Post graduates (MD/MS/DNB) of GMCH-32, Chandigarh having completed their course of study
6.2.3 Superspecialists (DM/MCh/DNB) of GMCH-32, Chandigarh having completed their course of study.
6.2.4 All senior residents having completed at least 3 years of their tenure at GMCH
6.2.5 All past and present faculty of GMCH, Sec 32-A, Chandigarh
6.3 Associate member:
6.3.1 Medical graduates (MBBS) of GMCH-32, Chandigarh pursuing their study.
6.3.2 Post graduates (MD/MS/DNB) of GMCH-32, Chandigarh pursuing their study.
6.3.3 Superspecialists (DM/MCh/DNB) of GMCH-32, Chandigarh pursuing their study.
6.3.4 All senior residents pursuing their training at GMCH
6.4 Honorary Members:All past Director principals will be honorary members. They will not have voting rights.
7. CHAPTERS OF THE ASSOCIATION :
Chapters in cities and states of India and in other countries can be formed by the primary members of The GMCH Alumni Association. A chapter may be formed by at least 11 members in that city / state / country.
7.1 MEMBERSHIP OF THE CHAPTERS
7.1.1 Primary membership of the Association is mandatory for all members of various chapters of The Association anywhere in India or abroad by paying the required fee.
7.1.2 Thus, these chapters will consist of only those members who are enrolled as primary members at the Head Office of the GMCH Alumni Association. However, at their own level, these chapters can ask for the payment of an additional fee or subscription to meet the expenses incurred for their local activities undertaken within the framework of the objectives of the association and aims and objectives of the GMCH Alumni Association registered at Chandigarh.
7.2 FUNCTIONING OF THE CHAPTERS :
7.2.1 For their functioning, the chapter will be required to generate their own funds. The GMCH Alumni association will not be responsible for any liabilities incurred by such Chapters.
7.2.2 The regional chapters will work in association with the head office and in accordance with the rules of the society. All the activities conducted by regional chapters will be duly informed to the head office.
8. RESIGNATION AND EXPULSION OF MEMBERS AND OFFICE BEARERS
If a member ceases to be a member on account of resignation then he/she will not be refunded the membership fee.
The executive committee of GMCH Alumni association will have the power to debar/expel any member from the rights of membership when they are satisfied that any member is doing something unethical or other activities against the interest or the prestige of GMCH Alumni Association. However, before doing so the executive committee must serve the member with a written notice mentioning his/her undesirable activities and ask him/her to explain his/her conduct within reasonable time to the President or the Secretary of GMCH Alumni Association in writing. The cessation of the membership of any member must be confirmed by a 3/4th majority of the members present in the next general body meeting of GMCH Alumni Association otherwise it (cessation of membership) will not be tenable. On cessation of membership by the executive and general body or on impeachment, his/her membership fee shall forfeited.
9. FORMATION OF THE GENERAL BODY:-
All life members (Section 5.1 above) of GMCH Alumni Association whose names are on "register of membership" of GMCH Alumni Association shall be members of the general Body of GMCH Alumni Association.
The register of membership will be maintained and kept in the head office of the GMCH Alumni Association.
10. POWERS AND FUNCTION OF THE GENERAL BODY:-
The general body of the “GMCH Alumni Association” shall exercise the following powers:
10.1 The general body shall have the supreme powers in all matters.
10.2 It shall meet at least once a year.
10.3 It shall elect office bearers, henceforth called the executive committee viz. President (1), Vice President (1), Secretary (1), Joint Secretary (1), Treasurer (1), and the executive committee Members (10), to implement the decisions of the general body and to achieve the aims and objectives enshrined in the constitution of the society.
10.4 To consider the annual report and the annual audited statement of accounts of association and to pass it.
10.5 To amend the constitution by 3/4th majority of general house.
10.6 To impeach the executive committee or its office bearers by 3/4th majority of general house.
11. MEETING/QUORUM OF THE GENERAL BODY:
11.1 The annual meeting of the General body of GMCH Alumni Association shall be held at least once in the year at a time and place to be notified by email/post, by the Secretary for the conduct of its business.
11.2 The quorum for the business meeting of the general body of GMCH Alumni Association will be of 100 of the eligible members on the rolls of the GMCH Alumni Association. The meeting will be presided over by the President or Vice president (in the absence of the President). The Secretary and the Treasurer will also be present at the dias. Listed agenda circulated by the Secretary will be discussed first. Any new agenda may be taken up with the permission of the chair.
11.3 If the number of members attending the meeting falls short of the quorum, the meeting will be adjourned for 15 minutes. Thereafter the reassembled members (minimum of 25) will constitute the quorum. They can take up the already circulated agenda and take the decisions thereupon.
12. FORMATIONAND STRENGTH OF THE EXECUTIVE COMMITTEE:
There shall be an executive committee of the association to assure and fulfil the aims and objectives as well as the business and other affairs of the GMCH Alumni Association. The executive committee would be elected from amongst the members of the general body.
The management of GMCH Alumni Association shall be vested in a Executive committee consisting of the following:
i) President - One
ii) Vice-President - One
iii) Secretary - One
iv) Joint Secretary - One
v) Treasurer - One
vi) Executive committee members - Ten
A minimum of 8 office bearers must be present to constitute a quorum for any meeting of the executive committee. These must include President or Vice President (in the absence of President), Secretary or Joint Secretary (in the absence of the Secretary).
13. MODE OF ELECTION OF EXECUTIVE COMMITTEE
TThe term of office for all the office bearers of the Executive committee shall be for 2 years. Election for all the posts falling vacant will be by ballot or by unanimity. They will be elected by the members of GMCH Alumni Association. Any member desirous of contesting for any executive post should be primary life member of the society. Similarly only the life member of the society will have voting right. A member may opt for re-election to the same or another post, however he/she cannot hold the same office for more than 2 terms.
13.1 Eligibility criteria for the office bearers
13.1.1 President: One Post
Any Life member, in good standing, can be elected as the President of the Association provided the candidate fulfils 1 of the following 3 conditions
i. He/she has completed 25 years after admission (MBBS) to GMCH
ii. He/she is a faculty at GMCH for at least 15 years.
iii. He/she should be a life member for a minimum of 10 years. (This condition will become applicable after 10 years of the registration of the society)
13.1.2 Vice President: One Post
Any life member, in good standing, can be elected as the Vice President of the Association provided the candidate fulfils 1 of the following 3 conditions
i. He/she has completed 20 years after admission (MBBS) to GMCH
ii. He/she is a faculty at GMCH for at least 10 years.
iii. He/she should be a life member for a minimum of 8 years. (This condition will become applicable after 8 years of the registration of the society).
13.1.3 Secretary: One Post
He/ she should be a resident of UT Chandigarh/ Mohali/ Panchkula during the tenure of his office. Any life member, in good standing, can be elected as the Secretary of the Association provided the candidate fulfils 1 of the following 3 conditions
i. He/she has completed 20 years after admission (MBBS) to GMCH
ii. He/she is a faculty at GMCH for at least 10 years.
iii. He/she should be a life member for a minimum of 8 years. (This condition will become applicable after 8 years of the registration of the society).
13.1.4 Treasurer: One Post
He/ she should be a resident of UT Chandigarh/ Mohali/ Panchkula during the tenure of his office. Any full member, in good standing, can be elected as the Treasurer of the Association provided the candidate fulfils 1 of the following 3 conditions
i. He/she has completed 20 years after admission (MBBS) to GMCH
ii. He/she is a faculty at GMCH for at least 10 years.
iii. He/she should be a life member for a minimum of 8 years. (This condition will become applicable after 8 years of the registration of the society).
13.1.5 Joint Secretary: One Post
Any life member, in good standing, can be elected as the Joint Secretary of the Association provided the candidate fulfils 1 of the following 3 conditions
i. He/she has completed 15 years after admission (MBBS) or MS/MD from GMCH or Senior Resident
ii. He/she is a faculty at GMCH for at least 5 years.
iii. He/she should be a life member for a minimum of 5 years. (This condition will become applicable after 5 years of the registration of the society)
13.1.6 Executive Committee Members: Ten Posts
Any life member, in good standing, can be elected as the executive committee member of the Association provided the candidate fulfils 1 of the following 3 conditions
i. He/she has completed 10 years after admission (MBBS) or MS/MD from GMCH or Senior Resident
ii. He/she is a faculty at GMCH.
iii. He/she should be a life member for a minimum of 2 years. (This condition will become applicable after 2 years of the registration of the society)
13.2 ELECTION PROCEDURE:
13.2.1 Entire proceeding of the election to the Executive Committee will be conducted by an Election Committee of 3 persons nominated by the Executive Committee. Out of these, one shall be the Chief election officer and 2 election officers.
13.2.2 Election dates will be determined by the Executive Committee along with the members of Election Committee.
13.2.3 Election will be held in a General Body meeting called for this purpose by the members present.
13.2.4 Chief election officer the Election Committee will notify elections to various posts by giving at least 4 weeks prior notice. Election Committee will receive the names of the desirous candidates from amongst the full members of the General Body.
13.2.5 Each application should be seconded by a bonafide life member of the GMCH Alumni Association
13.2.6 Date for receiving and withdrawal of the nominations will be announced by the election committee.
13.2.7 Nominations thus received will be scrutinized by the Election Committee.
13.2.7. If there are more than one candidate for a particular post, election will take place by a secret ballot in the General Body Meeting called for this purpose.
13.2.8 After counting of the votes, the result will be declared in the same meeting.
14. POWERS AND FUNCTIONS OF THE EXECUTIVE COMMITTEE
The functions of the Executive committee shall be as under:-
14.1 The executive committee shall be responsible for the management and administration of all the affairs of the GMCH alumni association.
14.2 The executive committee shall work for the achievement of the aims and objectives of the society as stated in the memorandum of the society.
14.3 The executive committee shall take all decisions by majority votes.
14.4. The executive committee shall comply with the statutory provisions of the Societies Registration Act 1860 as well as other laws applicable from time to time.
14.5 The executive committee shall prepare plans/projects and programs for the society.
14.6 The executive committee will appoint election officers mentioning his/her powers.
14.7 The executive committee shall maintain and file annual lists, balance sheet and submit audited accounts
14.8 The executive committee shall maintain all the records including the quorum in its meetings.
14.9 The executive committee shall provide information as may be required by the registrar of societies
14.10 The executive committee shall issue relevant notices including elections and dissolutions and pass any resolutions.
14.11 The executive committee shall collect admission/subscription and other fees as well as donations and special contributions and issue receipts.
14.12 The executive committee shall hold regular meetings and urgent emergency meetings if required.
14.13 The executive committee shall pursue legal proceedings, engage lawyers, for the GMCH Alumni association. The pleadings, papers etc may be signed by the President/ Secretary.
14.14 The executive committee shall do all other jobs as are incidental to and in the interest of the society.
14.15 To frame by laws for the conduct of business, i.e. to prepare plans and policies for the smooth management of the society, to arrange funds from the members/organizations not inconsistent with the memorandum of Association/ GMCH Alumni association and to work for promoting its aims and objectives.
14.16 The Executive committee shall be competent to delegate any of its powers to its President, Vice President and Secretary.
14.17 The Executive committee shall be competent to co-opt upto 10 members for conduct of any event/function being organized by GMCH Alumni Association. These members will not have any voting rights in the executive committee
15. MEETINGS/QUORUM AND NOTICE OF EXECUTIVE COMMITTEE:
15.1 The executive committee can arrange any general body meeting at a time and place selected by them for furthering the aims and objectives of GMCH Alumni Association.
15.2 The business of GMCH Alumni Association will, however, be discussed in that general body meeting only if its agenda has been circulated to the members for its discussion in that meeting.
15.3 Any member desirous of moving a resolution at the time of the general body meeting of GMCH Alumni Association should send the text of the resolution after getting it seconded by a qualified voting member of GMCH Alumni Association so as to reach the Secretary at least 4 weeks before the said meeting. The Secretary will then include that resolution in the agenda to be circulated to the members.
15.4 The Executive committee shall meet once before the annual GBM and on a mutually acceptable date (preferably in the second week of September) and place to discuss the affairs of the GMCH Alumni Association.
15.5 The Secretary shall circulate the notice of the general body meeting along with the agenda to all members of GMCH Alumni Association at least 2 weeks before the date of that meeting.
16. POWERS AND DUTIES OF EACH OF THE OFFICE BEARER SEPARATELY:
16.1 President : -The President shall be overall in-charge of the general house and executive committee and shall work for the achievements of the aims and objectives of the society and shall preside over the meetings and sign and confirm the proceedings.
16.2 Vice President: -The Vice President shall assist the President in his/her work for promoting the aims and objectives, and chair /conduct the proceedings in the absence of the President.
16.3 Secretary: -The Secretary shall manage the Society and Executive committee. He will call the meetings of the General body and executive committee and shall maintain the minutes of the meetings and he shall also perform all the functions which may be required to be performed from time to time for effective working of the society.
16.4 Joint Secretary: -The Joint Secretary of the society shall conduct all correspondence of the society and shall maintain the records and shall be responsible for the maintenance of the record and coordination of the activities of the society under the direction, control and supervision of the Secretary. He/she may perform the duties of the secretary if the secretary is unavailable.
16.5 Treasurer: - To prepare all the accounts and to collect membership and subscription fee and to spend the money for the purpose of the society with the prior approval of the President/ Secretary and to open/ operate bank accounts in any nationalized bank with the signatures of either President or Secretary. To present the statement of accounts every 6 months to the President and Secretary and duly audited statement of accounts annually at the GBM.
16.6 Executive Members: - They will have a part in taking any collective decision in the interest of the society & will assist the President, Vice-President and Secretary & other office bearers in day to day functioning of the society.
17. THE MANNER OF INVESTMENT OF THE FUNDS, KEEPING OF ACCOUNTS AND FOR ANNUAL AND PERIODICAL AUDIT OF THE ACCOUNT BY A CERTIFIED CHARTERED ACCOUNTANT OF GMCH ALUMNI ASSCOCIATION:
17.1 GMCH Alumni Association is authorized to receive subscriptions, donations and other income from individuals / organizations, to hold funds and to utilize funds for fulfilling the objectives of the society.
17.2 The income and property of GMCH Alumni Association, howsoever derived, shall be utilized solely towards the promotion of the objectives of GMCH Alumni Association as set forth in this constitution of GMCH Alumni Association and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to any of the members of the society provided that nothing herein contained shall prevent the payment in good faith of remuneration of any officer or servants of GMCH Alumni Association who may also be the members thereof in return for any work done or service actually rendered to GMCH Alumni Association, not to prevent the payment of interest at a rate to be decided by the executive committee on money borrowed from (any) members of GMCH Alumni Association.
17.3 The Executive committee shall have full power of the control and management of the affairs of the property of GMCH Alumni Association, to engage such officials, servants or other persons as may be found necessary for the proper conduct and management of the affairs of GMCH Alumni Association in carrying out its objectives.
17.4 The Executive committee shall have power to approach and apply to the government/ governmental agencies for allotment/ purchase, or acquire on lease or in exchange, or on hire or by gift or otherwise, any real estate or property and any rights or privileges necessary or convenient for the benefit of GMCH Alumni Association and to improve, develop, manage, sell, lease mortgage, dispose of, turn to account or otherwise deal with all or any part of the property of GMCH Alumni Association.
17.5 The Executive committee shall have power to invest surplus money (not exceeding 50% of corpus) in fixed deposits in a nationalized bank. No speculative investments of any kind are to be made.
17.6 The Treasurer shall maintain a true and accurate account of all receipts and expenditure of GMCH Alumni Association, and will also maintain a stock register of the property of the society.
17.7 The books and accounts of GMCH Alumni Association shall be audited annually by chartered accountant and shall be made available for inspection to any member only at the annual GBM.
17.8 The Treasurer and either President or Secretary shall have the right to open a bank account/s in the name of GMCH Alumni Association in a nationalized bank located in UT Chandigarh.
17.9 All cheques, note bills and other negotiable instruments will be signed jointly by the Treasurer and either President or Secretary.
18. ALTERING AND RESCINDING OF RULES AND REGULATIONS OF GMCH ALUMNI ASSOCIATION( As per provisions of section 13 & 14 of society registration act 1860)
18.1 The Executive committee of GMCH Alumni Association may amend the existing rules and regulations of GMCH Alumni Association. The change or the rescinding or the addition in rules and regulations will be made by the Executive committee either on its own or on a written suggestion from any member. They will come into force from the date the Executive committee desires but would lapse if not passed by next general body meeting by a 3/4th majority of the members present.
18.2 AMENDMENTS OF THE CONSTITUTION : Any amendment to the constitution of GMCH Alumni Association can be proposed only at the Annual General Body meeting or at a meeting convened specially for the purpose. The Secretary shall give notice of resolutions (4 weeks in advance) that are to be moved. The amendment will be considered to have been passed only when at least 75% of the total members present at the annual GBM of GMCH Alumni Association agree to it by a written 'Yes' to such an amendment.
19. MANNER OF DISSOLUTION OF THE SOCIETY
The society can be dissolved as per sec 13 & 14 of the Societies Registration Act 1860, by at least 3/4thmajority.
If upon the winding up or dissolution of the Association/ Society thereof, remains after satisfaction of all the debts and liabilities shall not be distributed among the members of the GMCH Alumni Association, but shall be given or transferred to some other institution/society having objectives similar to the objectives of the society, to be determined by the members of the society before the time of dissolution.
Certified that this is the true copy of Memorandum of Association of Society i.e. GMCH Alumni Association, Government Medical College & Hospital, Chandigarh.
20. MANUAL OF PROCEDURES
20.1 Meetings
(Annual meetings, Cultural events, sports meet, social awareness programmes, orientation programmes for fresh graduates/post graduates, Conferences, CME’s, Workshops, Instructional Courses, invited lectures etc.)
The Executive committee of GMCH Alumni Association will plan, formulate the policy, assess the feasibility and supervise the overall conduct/ execution of these meetings.20.2 Awards:
20.2.1 The executive committee of GMCH Alumni Association in future may propose to institute awards/scholarships from time to time. This will have to be ratified by the next annual GBM.
20.2.2 The Executive Committee may in future propose suitable Orations in the name of prominent personalities in the health establishment and invite deserving dignitaties to deliver such orations on the Annual Day of the GMCH or at other prominent meetings. This will have to be ratified by the next annual GBM.
20.3 Donations/ Charity
The GMCH Alumni Association can in cases of public interest, natural disaster, poor patient consider the payment of such funds to such organizations or persons for the betterment of society. Such a payment must be ratified at an emergency meeting comprising of at least 12 members of the executive committee, however this amount should not exceed 10% of the corpus at that point of time excluding liabilities.
